GENERAL CONDITIONS OF ORDER

 

Prices/Quantities

Microtronix makes every effort to present current and accurate pricing on its Web site. However, prices are subject to change without notice and quantities may be limited. All orders are subject to current pricing at time of acceptance by Microtronix. No trade in other currencies will be accepted.

 

Shipment

The Microtronix warehouse is open and staffed Monday through Friday 8:30am to 5:00pm Eastern Time (CDN), subject to holidays. Orders are shipped only on these business days. Orders and correspondence received on Saturday and Sunday will be addressed/shipped on the following Monday and included in that day's business. Please allow

3-5 business days for most deliveries unless specified otherwise.

 

Shipping Charges

Shipping or freight charges and insurance will be paid by the customer. All sales are made EX-Works from London, ON Canada. Shipping or freight charges from Microtronix are prepaid and added to the invoice, billed collect or billed to a 3rd party.

 

Sales Tax

Sales tax is charged on shipments to Canadian provinces that have a sales tax.

 

Payment

Microtronix accepts bank (wire) transfer payments and offers the following online payment options: VISA, MasterCard and American Express.

 

Out of Stock

Credit card items not available for immediate shipment will be shipped as they become available. Items not available at the end of 30 days will be cancelled. The number of backorder days may be extended beyond 30 days at customer's request.

 

International Orders

In addition to the United States and Canada, Microtronix accepts international orders. All orders of international origin are exported from Canada in accordance with the Canadian Export laws and Regulations. All duties and taxes will be the responsibility of the customer.

Freight Damage

If you receive merchandise that has been damaged in transit, it is important to keep the shipping carton, packing material and parts intact. Please contact a Microtronix Customer Service representative immediately to initiate a claim. (See Customer Service)

 

Return Policy

Microtronix accepts merchandise returns subject to the terms outlined below and will replace the product or refund your money at your option.

To facilitate processing of returned merchandise: Please contact a Customer Service representative to obtain an RMA (Returned Merchandise Authorization) number prior to returning product. See Customer Service for contact information.

All returns should be made within 30 days of date of invoice and be accompanied by the original invoice number and a brief explanation of the reason for the return.

Return freight charge must be prepaid. Sorry, C.O.D. returns cannot be accepted.

Returned merchandise must be in original packaging and in resalable condition.

Parts returned due to customer error may be subject to a 20% restocking charge. "Not-In Catalog Items" and parts specified as "Non- Cancelable/Non-Returnable" at time of quote or sale are not returnable.

Defective merchandise may be returned within 90 days of the original invoice date and need not be in original packaging.

 

General Disclaimer of Warranties; Limitation of Liability

Products sold by Microtronix are not authorized for use as critical components in life support devices or systems. A critical component is any component of a life support device or system whose failure to perform can be reasonably expected to cause the failure of the life support device or system, or to affect its safety or effectiveness. Any attempt to use any Microtronix product for that purpose nullifies and voids the Microtronix limited warranty. Microtronix accepts no liability whatsoever in contract, tort or otherwise whether or not resulting from our or our employees' negligence or failure to detect an improper purchase.

 

All orders shipped by Microtronix are specifically subject to all the terms and conditions contained herein. No change, alteration, deletion or modification of any of these terms and conditions is permitted. No person is authorized to accept, confirm or vary these terms and conditions including all representations and warranties. All terms are specifically and exclusively subject to interpretation under the US Uniform Commercial Code and all claims or disputes shall be interpreted according to Minnesota law and subject to jurisdiction in Minnesota state or federal courts at the exclusion of any other choice of law or choice of jurisdiction, including the UN Convention on the International Sale of Goods (CISG).

 

Microtronix offers its Technical Assistance and Design Support Services as a convenience to Microtronix customers. Microtronix Technical Assistance and Design Support Services personnel strive to provide useful information regarding Microtronix products.

 

THE CUSTOMER IS SOLELY RESPONSIBLE FOR ANALYZING AND DETERMINING THE APPROPRIATENESS OF ANY INFORMATION OR RECOMMENDATION PROVIDED BY MICROTRONIX TECHNICAL ASSISTANCE AND DESIGN SUPPORT SERVICES PERSONNEL AND SALES PERSONNEL, AND ANY RELIANCE ON SUCH INFORMATION OR RECOMMENDATION IS AT THE CUSTOMER'S SOLE RISK AND DISCRETION. ACCORDINGLY, THIS DISCLAIMER RELEASES AND HOLDS MICROTRONIX HARMLESS FROM AND AGAINST ANY AND ALL LOSS, LIABILITY, AND DAMAGE INCURRED BY THE CUSTOMER OR ANY THIRD PARTY AS A RESULT OF ANY INFORMATION OR RECOMMENDATION PROVIDED TO THE CUSTOMER OR THE CUSTOMER'S RELIANCE ON SUCH INFORMATION OR RECOMMENDATION.

 

MICROTRONIX LIMITED WARRANTY, WHERE APPLICABLE, IS STRICTLY CONFINED TO MICROTRONIX'S SOLE OBLIGATION AND AT MICROTRONIX'S SOLE OPTION, TO REPLACE SUCH DEFECTIVE PRODUCT, REPAIR OR REFUND TO CUSTOMER THE AMOUNT PAID BY CUSTOMER THEREFORE. IN NO EVENT SHALL MICROTRONIX'S LIABILITY EXCEED THE BUYER'S PURCHASE PRICE.

 

Warranty does not apply and is null and void, should any Microtronix product be subjected to misuse (including without limitation static discharge), neglect, accident or modification, or to any Microtronix products that have been soldered or altered after the original purchase.

 

IN NO EVENT SHALL MICROTRONIX BE LIABLE TO THE BUYER OR TO ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST SAVINGS, OR LOSS OF BUSINESS OPPORTUNITY) ARISING OUT OF OR RELATING TO ANY PRODUCT OR SERVICE PROVIDED OR TO BE PROVIDED BY MICROTRONIX, OR THE USE OR INABILITY TO USE THE SAME, EVEN IF MICROTRONIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ...
